These Export Terms & Conditions apply exclusively to all international export transactions conducted by Pharma Life (“Company”, “we”, “our”). By requesting a quotation, placing an export order, or entering into a commercial agreement with us, you agree to the terms outlined below.
1. Scope of Export Transactions
Pharma Life operates as an exporter of pharmaceutical and cosmetic products in bulk quantities. We do not process international retail orders or single-item shipments. All export transactions are handled on a business-to-business (B2B) basis unless otherwise agreed in writing.
2. Quotations & Order Confirmation
All export orders require a formal written quotation issued by Pharma Life.
Quotations are valid for a limited period as stated and may be subject to change due to raw material costs, exchange rates, or logistics conditions.
Orders are considered confirmed only after:
Written acceptance of the quotation
Agreement on quantities and specifications
Receipt of the agreed payment or deposit
3. Minimum Order Quantity (MOQ)
Export orders are subject to minimum order quantities, which vary depending on product type and destination market. MOQ details will be specified in the quotation.
4. Pricing & Payment Terms
All prices are quoted in the agreed currency and exclusive of customs duties, taxes, and destination charges unless explicitly stated otherwise.
Payments are processed through agreed payment methods, including Paymob or bank transfer.
Pharma Life reserves the right to withhold shipment until full payment or agreed deposit is received.
5. Incoterms
Unless otherwise agreed in writing, export shipments are governed by Incoterms® 2020 issued by the International Chamber of Commerce (ICC).
The applicable Incoterm (e.g., EXW, FOB, CIF, DAP) will be clearly stated in the commercial invoice and quotation.
Risk transfer, cost allocation, and delivery responsibilities are determined strictly according to the selected Incoterm.
6. Shipping & Delivery
Estimated delivery timelines are provided for reference only and are not guaranteed.
Pharma Life is not responsible for delays caused by customs clearance, port congestion, force majeure events, or carrier actions.
Partial shipments may be permitted unless otherwise agreed.
7. Customs & Regulatory Compliance
The buyer is solely responsible for ensuring that the imported products comply with all applicable laws, regulations, and registration requirements in the destination country.
Pharma Life shall not be liable for shipment rejection, confiscation, or penalties imposed by local authorities.
8. Inspection & Claims
Buyers must inspect goods upon receipt.
Any claims related to quantity discrepancies or visible damage must be submitted in writing within 48 hours of delivery, supported by evidence.
Failure to notify within this period constitutes acceptance of the goods.
9. Returns & Refunds (Export Orders)
Due to the nature of export transactions and regulated products, export orders are non-refundable and non-returnable once shipped, except in cases of verified manufacturing defects.
10. Limitation of Liability
Pharma Life’s liability shall be limited to the invoice value of the affected goods. Under no circumstances shall Pharma Life be liable for indirect, consequential, or loss-of-profit damages.
11. Force Majeure
Pharma Life shall not be liable for failure or delay in performance due to events beyond reasonable control, including but not limited to natural disasters, war, strikes, pandemics, or government actions.
12. Governing Law & Jurisdiction
These Export Terms & Conditions shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes shall be subject to the exclusive jurisdiction of the competent Egyptian courts unless otherwise agreed in writing.
